Welcome to 3 Degrees Health

These Terms of Use (“Terms”) set forth the legally binding terms and conditions between you and Three Degrees Health FZC LLC (trading as 3Degrees Health), a business licensed in ANZ Freezone, Ajman, United Arab Emirates (“3 Degrees Health”, “we”, “our”, or “us”). It governs your access to and the use of 3 Degrees Health’s website and the services provided by 3 Degrees Health.

Your access to our services is conditioned on your acceptance of and compliance with these Terms. These Terms, all applicable laws, and all conditions or policies referenced here apply to all visitors, users and others who access or use the Service. Our website is not directed at you if we are prohibited by any law of any jurisdiction from making the information on our website available to you and is not intended for any use that would be contrary to local law or regulation. 

Please read these Terms carefully. By accessing or using the 3 Degrees Health platform, mobile applications, website, or any of its services (collectively, the “Service”), you agree to be bound by these Terms. If you disagree with any part of the Terms, then you may not access the Service. 

  1. About 3 Degrees Health 

3 Degrees Health is a healthcare coordination and facilitation business that supports clients in accessing healthcare services across different jurisdictions. Its services include;

introducing Clients to independent healthcare providers, coordinating appointments, 

facilitating the transfer of medical records at the Client’s request, and providing optional travel, concierge, and logistical support services. 

3 Degrees Health does not itself provide medical advice, diagnosis, or treatment, and does not operate as a healthcare provider, insurer, or financial institution, but partners with licensed third-party providers to facilitate such services. 

  1. Definitions 

In these Terms: 

“Applicable Laws” refers to all applicable regulations, laws, codes, guidelines, policies, rules, and directives of any competent regulatory authority in the United Arab Emirates. 

“Client” refers to any person using the Website or engaging 3 Degrees Health services. 

“Patient” refers to the individual receiving healthcare services (may be the Client or 

someone represented by the Client). 

“Platform” refers collectively to 3 Degrees Health’s website, social media presence and other related applications provided by 3 Degrees Health. 

“Service(s)” refers to all products and services provided to you by 3 Degrees Health and as described in clause 4 of this Agreement. 

“Third-Party Provider(s)” refers to independent hospitals, clinics, physicians, labs, 

pharmacies, airlines, hotels, transport providers, translators, caregivers, and other third parties. 

“User” refers to persons, customers and visitors who access the Service. 

  1. Acceptance of Terms 

The Service is offered subject to acceptance of all the terms and conditions contained in these Terms and all other operating rules, policies, and procedures that may be published on the Platform, which are incorporated by reference, including operating rules, policies, and procedures of third-party service providers to the Platform that are referenced herein. These Terms apply to every user of the Service. In addition, some Services offered through the Platform may be subject to additional terms and conditions adopted by the Platform. Your use of those Services is subject to those additional terms and conditions, which are incorporated into these Terms by this reference. 

3 Degrees Health reserves the right, at its sole discretion, to modify or replace these Terms from time to time by posting the updated terms on the Platform. It is your responsibility to check the Terms periodically for changes. If you object to any such changes, your sole recourse will be to cease using the Platform and the Service. Your continued use of the Service following the posting of any changes to the Terms will indicate your acknowledgement of such changes and agreement to be bound by the terms and conditions of such changes. 

3 Degrees Health reserves the right to change, suspend, or discontinue the Service (including, but not limited to, the availability of any feature, database, or Content) at any time for any reason. 3 Degrees Health may also impose limits on certain features and Services or restrict your access to parts of or the entire Platform without notice or liability. 

  1. Scope of Services 

4.1 Nature of Services 

3 Degrees Health provides non-clinical care coordination and facilitation services to assist clients in accessing healthcare services from independent Third-Party Providers. Such services may include: 

introducing Clients to relevant Third-Party Providers based on the Client’s stated preferences; 

coordinating appointments and facilitating communication between Clients and Third Party Providers; 

assisting with the collation and transfer of medical records or documentation at the Client’s request; 

providing optional concierge, travel, and logistical support services, including assistance with accommodation, transportation, and related arrangements; and 

such other support services as may be agreed with the Client from time to time. 

4.2 No Medical Services 

3 Degrees Health does not provide medical advice, diagnosis, treatment, prescriptions, or emergency healthcare services. Nothing in these Terms or on the Platform creates a doctor– patient relationship between 3 Degrees Health and any User or Patient. 

4.3 Independent Third-Party Providers 

All healthcare services are provided by independent Third-Party Providers. Third-Party Providers are independent contractors and are not employees, agents, partners, or representatives of 3 Degrees Health. 3 Degrees Health does not control and is not responsible for any Third-Party Provider’s acts/omissions, clinical decisions, advice, treatment, outcomes, availability, pricing, or policies. Any medical treatment is solely between you/the Patient and the Third-Party Provider. 

4.4 No Guarantee of Outcomes or Availability 

3 Degrees Health does not guarantee the availability of any Third-Party Provider, appointment times, pricing, travel arrangements, visa approvals, or any medical or non-medical outcomes. 

4.5 Third-Party Services 

Where 3 Degrees Health facilitates access to third-party services (including travel, accommodation, or translation services), such services are provided by independent third parties and are subject to their own terms and conditions. 

4.6 Consent to Services 

3 Degrees Health respects and upholds the confidentiality of every User’s personal and health information and their rights as protected by the Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (PDPL), Federal Law No. 2 of the UAE, and other applicable data protection laws in countries of operation. 

By agreeing to these Terms, you are authorising us to share your data with third parties, where necessary, solely to the extent necessary for the provision of the Services. 

While 3 Degrees Health does not directly provide medical treatment or store full medical records, you acknowledge that the Service may involve the exchange of your personal information and health-related information with the Providers on the Platform. 

3 Degrees Health will obtain your express consent prior to sharing any personally identifiable information or health-related information to a third party for purposes other than the provision of the Services on the Platform. 

You further acknowledge that your personal and health-related information may be shared in the following circumstances: 

When a valid court order is issued for the provision of your records; 

Reporting suspected abuse, neglect or domestic violence; and 

Preventing or reducing a serious threat to public health or safety. 

You may terminate any consent you provide to us for the use of your personal health information at any time by contacting us at info@3degreeshealth.com

You acknowledge that you fully understand the risks and benefits of the Services and you hereby give your informed consent to the above listed terms. 

  1. Users’ Representations & Warranties 

Representations and warranties are statements and promises made by you to 3 Degrees Health, which we rely on as being accurate in our dealings with you. You make the following representations and warranties to us at the time of agreeing to these Terms and every time you use the Services: 

you are over the age of 18 years; 

you are of sound mind and have the capacity to enter into a legally binding contract; 

all personal information that you provide about yourself is accurate and true to the best of your knowledge; 

you are not breaching any Applicable Laws or regulations that are applicable to you or any company, trust or partnership; and 

where you act on behalf of a Patient, you confirm that you have obtained all necessary consents and legal authority to (i) share such Patient’s information; (ii) request services and make arrangements on the Patient’s behalf; and (iii) make decisions on their behalf in connection with the Services. You are responsible for ensuring the Patient has received and understood any relevant provider consent/terms. 

  1. Fees and Payment Terms 

Fees for 3 Degrees Health’s facilitation services (if applicable) shall be communicated to you in writing (including via proposal, email, or invoice). 3 Degrees Health reserves the right to adjust its pricing where necessary. 

Fees charged by Third-Party Providers are separate from and independent of 3 Degrees Health’s fees, unless expressly stated otherwise. 

The Company shall endeavour to provide the User with payment facilities/gateways to pay the required fee through credit cards (Visa and MasterCard), debit cards, cash cards and bank transfers. 

It is understood and agreed by the User that the Services shall only commence after clearance of funds in the accounts of the Company. 

  1. Refunds and Cancellations 

All payments for services provided by Third-Party Providers are subject to the applicable terms and policies of such Third-Party Providers, including those relating to refunds and cancellations. You are responsible for reviewing, accepting, and complying with the terms of any applicable Third-Party Provider. 

All payments made for healthcare services and related Services shall be deemed final once the relevant service has been rendered. Refunds shall only be issued where a Third Party Provider fails to deliver the agreed service or where cancellation occurs prior to Provider confirmation, if applicable. 

Refunds, where approved, shall be processed to the original payment method, less applicable administrative or transaction fees. 

  1. Users’ Responsibilities 

If you are a User, you acknowledge that 3 Degrees Health is not a healthcare provider and does not deliver any medical treatment or advice. Your relationship for healthcare services is with the Third-Party Provider you choose, and your use of those services is solely at your own risk, and you assume full responsibility for all risk associated with this, to the extent permitted by law. By using the Service, you agree to not hold 3 Degrees Health liable in any way for any malpractice or substandard treatment your Provider may render. 

While 3 Degrees Health may conduct reasonable commercial onboarding and due diligence checks, Clients remain responsible for independently assessing and confirming the suitability of any Third-Party Provider. 

  1. Assumption of Risk; Release and Waiver 

By accessing or using the Services, you acknowledge that healthcare services, medical travel, and related coordination and logistics involve inherent risks, including but not limited to unexpected medical outcomes, complications, delays, cancellations, travel disruptions, and financial loss. You voluntarily assume all such risks. 

To the fullest extent permitted by applicable law, you agree that your use of any Third-Party Provider is entirely at your own risk, and you hereby release and waive any and all claims against 3 Degrees Health arising out of or in connection with the acts or omissions of any Third-Party Provider, including without limitation any clinical decisions, advice, diagnosis, treatment, malpractice or negligence, delays, cancellations, or failures in service delivery. 

You further acknowledge that 3 Degrees Health does not control or supervise Third-Party Providers and is not responsible for the quality, safety, legality, or outcome of any services provided by them. 

Nothing in this clause shall exclude or limit liability to the extent such liability cannot be excluded under applicable law. 

  1. Intellectual Property 

The Service and all rights in our product name, trade names, logos, service marks, slogans, product packaging, its original content, features and functionality are and will remain the exclusive property of 3 Degrees Health. 

You may not use, copy, adapt, modify, prepare derivative works of, distribute, license, sell, transfer, publicly display, publicly perform, transmit, broadcast or otherwise exploit 3 Degrees Health’s website or content, except as expressly permitted in these Terms. 

  1. Links to Other Websites 

The Platform may contain links to third-party websites or services that are not owned or controlled by 3 Degrees Health. 

3 Degrees Health has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that 3 Degrees Health shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such websites or services. We strongly advise you to read the terms and conditions and privacy policies of any third party websites or services that you visit. 

  1. Termination 

We may terminate or suspend our Service to you immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. 

Upon termination, your right to use the Service will immediately cease. 

  1. Indemnity 

You agree to indemnify and hold harmless 3 Degrees Health, its affiliates and subsidiaries, its officers, directors, employees and agents, against all liabilities, costs, expenses, damages and losses (including any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest penalties and legal and other reasonable professional costs and expenses) suffered or incurred as a result of: 

your fraudulent, unlawful, or improper use of the Services or the Platform; 

your negligence or breach of these Terms or any policies published by 3 Degrees Health; any inaccurate or incomplete information that you have knowingly provided to us; 

your failure to safeguard your account credentials, or permitting another person to access your account; 

any claim arising because you lacked authority/consent to act for a Patient or to share their data; 

any service that you have offered, whether with or without our permission, to another third party using the Services or Platform; 

Third-Party Provider disputes, treatment outcomes, malpractice/negligence claims, 

cancellations, or price changes; and 

any claim made against you for actual or alleged infringement of 3 Degrees Health’s Intellectual Property or any actual or alleged infringement of a third party’s Intellectual Property arising out of or in connection with our Services or your use of the Platform. 

  1. Limitation of Liability 

In no event shall 3 Degrees Health, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from: 

your use of the Platform or the Services or your inability to use the Platform or the Services; 

Third-Party Providers or travel/logistics issues (visas, flights, accommodation, transport); 

any unauthorised access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose; and 

any legal proceedings between you and any third parties. 

To the fullest extent permitted by applicable law, the total aggregate liability of 3 Degrees Health arising out of or in connection with the Services shall not exceed the total fees paid by you to 3 Degrees Health for the specific service giving rise to the claim. 

  1. Disclaimer 

Your use of the Platform and Service is at your sole risk. The Website content is provided for general informational purposes only and does not constitute medical advice. The use or reliance of any information contained on the Platform is solely at your own risk. 

Always consult licensed clinicians for medical decisions. In the event of a medical emergency, you should contact local emergency services immediately. 

The Platform is provided on an “AS IS” and “AS AVAILABLE” basis. 3 Degrees Health, including its subsidiaries and affiliates, does not guarantee that the Platform will always operate without interruption, be error-free, secure, or available at all times. While we strive to maintain reliable access, occasional downtime or technical issues may occur. The Platform is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance. 

The Site may contain testimonials by Users of our Services. These testimonials reflect the real life experience and opinions of such Users. However, the experiences are personal to these particular Users and may not necessarily be representations of all Users of our Services. We do not claim, and you should not assume, that all Users will have the same experience. 

You acknowledge that by using third-party services integrated into the Platform, you are entering into a separate contractual relationship with those providers. 3 Degrees Health is not responsible or liable for any loss, cost, or expense arising from your use of such third-party services or their terms of use. 

  1. Governing Law 

These Terms shall be governed and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions. Any dispute arising out of or connected with these Terms which cannot be resolved mutually shall be subject to the exclusive jurisdiction of the competent courts in Ajman, United Arab Emirates. 

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have between us regarding the Service. 

  1. Dispute Resolution 

Any disputes arising under or in connection with the validity, interpretation and performance of these Terms between 3 Degrees Health and any third parties that cannot be resolved amicably by the parties through negotiation within 30 (thirty) days shall be resolved in accordance with Federal Law No. (6) of 2018 Concerning Arbitration of the United Arab Emirates, with the venue agreed by the parties. 

The arbitrator will be requested to render an award within ninety (90) days and to provide, in writing, the reasoning for the award. The decision of any such arbitrator shall be final and binding on the parties. 

Each party shall bear its own cost in connection with the arbitration and the arbitrator’s fees shall be split equally between both parties. 

  1. Force Majeure 

3 Degrees Health shall not be liable for failure to perform, or for delay in performing its obligations hereunder if such failure or delay shall be due to natural disasters, war, riot, civil commotion, weather, pandemics, epidemics, labour disputes, failure of sub-contractors or any other cause beyond its reasonable control and whether or not of a similar nature to the foregoing.
